In June of 2010 the Markkula Center for Applied Ethics and the Silicon Valley Chapter of the National Association of Corporate Directors produced a great video on the role of board members in improving and maintaining the ethical culture of the organizations they serve.
Michael Hackworth, Chairman of Cirrus Logic, says there are 4 parts to the role of the board of the directors :
1. Ensure there is an executable strategy to create shareholder value
2. Hire and fire C-level positions
3. Monitor strategy and hold management responsible
4. Ensure there is an ethical environment in the organization
